Memorandum of Association For public limited companies (whose shares constitute the substance of the stock market) at least sever persons must subscribe to a memorandum of association for registration as a company. The must contain the following information: the name of the company; the State in which it has its registered office; the objects of the company; a guarantee to the effect that the liability of its members will be limited; the amount of share capital proposed and the denomination of each share; and the number of shares each subscriber to the memorandum has taken. These declarations are unalterable, except with the permission of the Company law Board.
