Proxy A proxy is a physical substitute, authorized by a shareholder to represent him at mettings of the company and vote on his behalf. The proxy form, sent by the company secretary with the notice of a meeting, has to be signed by the shareholders and lodged with the company’s registered office 48 hours before the start of the meeting, if a proxy is attending the meeting. The collection of proxies by interested parties becomes a hectic affair when the management proposes controversial measure or when it is faced with a merger or takeover bid. See also AHARK WATCHER.
